G3 Wholesale & Authorised Retailer Agreement

This agreement is designed to ensure that we, G3 and our core retail partners, are aligned so that together we can ensure long-term sustainable growth for everyone.

1. Authorised Sales Channels & Marketplace Restrictions

To maintain the integrity of our community-driven ecosystem, G3 strictly regulates where our products are sold.

  • Approved Channels: Retailer is authorised to sell G3 products exclusively at their physical brick-and-mortar storefront(s) and through their proprietary, branded e-commerce website.

  • Third-Party Marketplace Prohibition: Retailer explicitly agrees not to list, advertise, distribute, or sell any G3 products on third-party online marketplaces, auction sites, or drop-shipping platforms. This includes, but is not limited to, Amazon, eBay, Walmart Marketplace, and TikTok Shop.

  • Enforcement: Violations will result in the immediate suspension of wholesale ordering privileges and potential termination of this agreement.

2. Minimum Advertised Price (MAP) Policy

Retailers must adhere to the following schedule across all advertising channels (print, digital, social, and in-store displays):

Period MAP Status & Restrictions
September 1 – February 28/29 Full MAP in Effect. All current season products must be advertised at or above full suggested retail price.
March 1 – March 31 Late-Season Sale Window. Retailers are permitted to advertise a maximum discount of 25% off current season and carryover inventory.
April 1 – August 31 Unrestricted Clearance Window. No MAP price restrictions apply. Retailers may clear remaining inventory at their discretion to prepare for the upcoming season.
September 1 Reset. MAP policy goes back into full effect for the new season.

Note on Bundling: Advertising G3 products alongside free or heavily discounted items in a way that implies a lower standalone price for the G3 gear is considered a violation of the MAP policy.

3. Ordering, Pricing, and Payment Terms

  • Wholesale Pricing: Product pricing will be provided in the current season's G3 Wholesale Price List. Prices are subject to change, but we will always give you a heads-up before changes take effect.

  • Order Submission: All orders must be submitted via the G3 B2B dealer portal or through your designated regional sales representative.

  • Payment Terms: Standard terms are Net 30 days from the invoice date, subject to credit approval. Late payments may result in a 1.5% monthly interest charge and a hold on pending shipments.

4. Shipping, and Delivery

  • Freight and Duties: Retailer is responsible for all shipping, handling, and applicable customs duties unless otherwise agreed upon in writing.

  • Inspection: Please inspect your shipment immediately upon arrival. Any shipping damages, shortages, or discrepancies must be reported to G3 Customer Support within 5 business days of delivery.

5. Industry-Leading Warranty & Retailer Support

We stand behind what we build, and we have your back. Our updated warranty program ensures you can confidently take care of your local backcountry community without jumping through hoops:

  • Climbing Skins: Free replacement within 2 years of the original consumer purchase date.

  • Bindings: Free repair parts sent within 2 years of the original consumer purchase date.

  • Poles: Free replacement within 2 years of the original consumer purchase date.

  • Tension Straps: Free replacement within 20 years of the original purchase date (yes, we take our straps seriously).

6. Intellectual Property & Brand Alignment

  • Asset Usage: Retailers are granted a non-exclusive, revocable licence to use G3 trademarks, logos, product copy, and media assets solely for marketing and selling G3 products.

7. Termination

G3 reserves the right to terminate this agreement immediately if the Retailer violates the marketplace restrictions (Section 1) or repeatedly breaches the MAP policy schedule (Section 2).

8. Governing Law

This agreement is governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any legal actions arising from this agreement must be filed in the courts of Ontario.
